Job Description:
- Conducting Legal Due Diligence for the Company, and aid with suggestions on conduct and drafting of the reports.
- Drafting and vetting legal documents including without limitation various contracts, notices, NOCs, inter-company agreements, affidavits etc.
- Independently conduct research on relevant laws, regulations, and legal articles with respect to various business ventures and jurisdictions as and when required.
- Maintaining and filing documents in the electronic filing system and creating and maintaining trackers thereof.
- Administrative support if and when required.
- Experience in drafting and negotiating International Commercial Contracts and Agreements and Non-Disclosure Agreements
- Drafting and vetting of commercial contracts/ MOUs/ policies
- Draft, negotiate, review and also provide business advice on a wide range of material commercial agreements, including, services agreements, confidentiality/non-disclosure agreements and standard terms and conditions, lease agreements; vendor agreements etc.
- Sound knowledge of Corporate Law and Contract Law.
- Drafting, reviewing, revising and negotiating general and complex technology agreements, including consulting, development, licenses (including open-source licenses), cloud (e.g., software as a service agreement), confidentiality, website terms of use, and data access and use agreements
- Provide advice and strategic support to the legal department and to the Banks business leaders regarding a range of technology law issues, licensing, including opensource software, and other intellectual property issues (e.g., patent, trademark, copyright)
Required Candidate profile
- LEGAL OFFICER
Candidate should be a Graduate LL.B / LL.M, well conversant with various commercial laws / Company Laws etc., having excellent drafting skills in respect of legal documents with 7 to 8 years experience in similar position in a reputed organization or Solicitor s firm. Familiar with Court procedure. Should have a good command over English language. Computer Proficiency is a must.
